# Dida Code Terms of Use

These Terms of Use ("Terms") govern your use of the Dida Code application
("Software") and the services provided at code.didabit.com ("Services") by
**Nova Globen AB**, a company registered in Sweden ("we", "us").

## 1. License and acceptable use

Your use of the Software is licensed, not sold, under the
[Dida Source-Available License](LICENSE.txt), which these Terms incorporate.
Commercial use beyond the free tiers requires an active subscription as
described in [PRICING.md](PRICING.md) and at <https://code.didabit.com/pricing>.

You may not use the Software or Services to violate applicable law, to
infringe third-party rights, or to misrepresent the Software's origin.

## 2. Subscriptions and payments

Paid subscriptions are processed by Revolut Business; we never receive or
store your payment card details. Subscriptions renew per the term you select
and can be cancelled at any time, effective at the end of the paid period.
Prices exclude VAT/sales tax where applicable. Seat minimums per tier are
described in PRICING.md.

## 3. Third-party components

The Software is based on Code - OSS, Copyright (c) Microsoft Corporation,
licensed under the MIT License (see LICENSE.vscode.txt), and includes other
open source components listed in ThirdPartyNotices.txt and
LICENSES.chromium.html. Dida Code is not affiliated with or endorsed by Microsoft.
"Visual Studio Code" and related marks are trademarks of Microsoft and are
not used by this product.

## 4. Updates

The Software may check code.didabit.com for new versions. Update checks
transmit only what is technically necessary (see PRIVACY.md). Updates are
never installed without your action.

## 5. Disclaimers

THE SOFTWARE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT
WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION
WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND
NON-INFRINGEMENT. THE SOFTWARE IS NOT DESIGNED FOR USE IN HIGH-RISK
ENVIRONMENTS REQUIRING FAIL-SAFE PERFORMANCE (E.G. LIFE SUPPORT, NUCLEAR
FACILITIES, AIR TRAFFIC CONTROL), AND YOU MAY NOT USE IT FOR SUCH PURPOSES.

## 6. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVA GLOBEN AB SHALL NOT BE LIABLE
FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR
FOR LOSS OF DATA, PROFITS OR BUSINESS, ARISING FROM YOUR USE OF THE SOFTWARE
OR SERVICES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU
PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM. NOTHING IN THESE TERMS
LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, INCLUDING
MANDATORY CONSUMER PROTECTION RIGHTS.

## 7. Termination

We may suspend or terminate access to the Services for material breach of
these Terms. Sections 3, 5, 6 and 8 survive termination. The Software
license terminates per its own terms.

## 8. Governing law

These Terms are governed by the laws of Sweden. Disputes shall be resolved
by the Swedish courts, with the district court of Stockholm as the court of
first instance, without prejudice to mandatory consumer forum rights.

## 9. Changes

We may update these Terms; material changes will be announced at
code.didabit.com. Continued use after the effective date constitutes
acceptance.
